1. Parties
Provider: JoyMux / JoyOrGenie distributing JoyMux software and related services (“we”, “us”).Customer: the individual or entity installing or using JoyMux (“you”).
2. The product
JoyMux is a local control layer / execution runtime for coding agents. A terminal or desktop client is optional. JoyMux is not a planner, orchestrator, payment processor, or legal decision engine. Paid unlocks are billed via JoyPay.
3. Licence
Prebuilt binaries are licensed under the Binary End-User License shipped with release archives. You may install and run JoyMux on machines you own or control, subject to a valid entitlement and these Terms.
4. Accounts, installs, and entitlements
- Billing and renewals are performed by JoyPay, not by the JoyMux binary.
- Each paid subscription instance is bound to an install as defined by JoyPay.
- JoyMux verifies local leases; it does not collect card data. Billing email may be collected at checkout for JoyPay.
- Expiry, non-payment, or breach may soft-lock paid features or end the grant.
5. Acceptable use
You must not redistribute closed binaries without permission, forge entitlements, violate law or third-party rights, or claim certifications JoyMux has not issued.
6. Agents and third-party tools
You are responsible for prompts and approvals you authorize, credentials you supply, and cloud or token spend from agents you run. Model confidence never bypasses JoyMux policy / approval gates.
7. Refunds
JoyMux Pro includes a 14-day money-back path as described in packaging / JoyPay commercial terms, unless a separate agreement applies.
8. Disclaimers
THE SOFTWARE AND SERVICES ARE PROVIDED “AS IS”. TO THE MAXIMUM EXTENT PERMITTED UNDER SINGAPORE LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Liability
TO THE MAXIMUM EXTENT PERMITTED UNDER SINGAPORE LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR TOKEN/CLOUD BILL OVERRUNS. Nothing excludes liability that cannot be excluded under Singapore law.
10. Governing law
These Terms are governed by the laws of Singapore. Parties submit to the exclusive jurisdiction of the courts of Singapore, without prejudice to mandatory consumer protections.
